Service Provider Terms and Conditions

“TEKSA,” the “service provider,” refers to anyone who uses the application service or registers on the application without necessarily agreeing to any specific service request. These terms and conditions constitute a formal agreement (“contract”) between SmartExpertises Company for Commercial Services, the owner of the “TEKSA” brand, with commercial registration number 4030509534, and the service providers on the application. These Service Provider Terms govern your use of the “TEKSA” application, an electronic platform allowing engineers and technicians to provide maintenance and IT services to customers either at their homes or other predetermined locations. TEKSA enables customers to select the appropriate engineer or technician to provide the required service.

 

TEKSA collects information about you when you use our mobile applications, websites, services, and through other interactions and communications with us. This Privacy Policy outlines the basis on which TEKSA will process information, including personal data we collect from you or that you provide to us. Each time you access or use the services or provide us with information, you accept and agree to the practices described in this Privacy Policy.

 

Once a service provider accesses TEKSA, whether they use the application service or register on the application without accepting any service request, these terms and conditions constitute a formal agreement (“contract”) between TEKSA, with commercial registration number 4030509534, and the service providers on the application. These Service Provider Terms govern your use of the “TEKSA” application, an electronic platform that allows engineers and technicians to provide maintenance and IT services to customers either at their homes or other predetermined locations. TEKSA enables customers to select the appropriate engineer or technician to provide the required service.

 

Any use of the services provided by the TEKSA engineers constitutes your agreement to this contract and its terms. Therefore, you must not use the application if you do not agree with the terms and conditions outlined in this contract.

 

TEKSA reserves the right to modify this agreement from time to time. The amendments will take effect once TEKSA posts the updated agreement on this site or publishes the revised policies or supplementary terms related to the provided service. Your continued use of the application after these amendments have been posted constitutes your acceptance of the modified agreement.

 

Eligibility to Access Services

You acknowledge and warrant the following:

  • That your use of “TEKSA” services has never been suspended or prohibited at any time.
  • That you are not a competitor of “TEKSA” and that you do not offer any product that competes with the services provided.
  • To use the “TEKSA” platform, you must be at least 18 years old to create an account.
  • Account registration requires providing some personal information to TEKSA, such as your name, address, phone number, sponsor information, gender, identification number, and date of birth.
  • You have no right to make any offers to users on behalf of TEKSA, and you acknowledge that breaching this clause will hold you fully responsible for all liabilities arising from this breach and may subject you to legal action and a ban from using the platform.

 

Representations and Warranties

You acknowledge and represent that you will:

 

  • **Maintain the Reputation of the “TEKSA” App:** Always prioritize respecting the customer.
  • **Timely Service Delivery:** Commit to providing the service immediately upon receiving the request and ensure punctual arrival at the customer’s location.
  • **Personal Cleanliness and Proper Attire:** Maintain personal cleanliness and wear appropriate work attire.
  • **Necessary Tools:** Have all necessary tools required to provide home or commercial maintenance services.
  • **Adherence to Agreed Prices:** Stick to the prices agreed upon in the app, and not add any extra charges except through the app.
  • **Compliance with Laws:** Comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
  • **Accurate Information:** Provide accurate and true information to “TEKSA” and update it in case of any changes.
  • **Adherence to Notifications:** Review and comply with any notifications sent through the “TEKSA” app regarding your use of the services provided by the app.
  • **No Unauthorized Licensing or Distribution:** Not sublicense, issue, publish, transfer, distribute, perform, display, sell, or reclassify “TEKSA” services, and not transfer or exploit the service commercially, except as allowed under this agreement.
  • **Proper Use of Information:** Not use any information, content, or data accessed or acquired through “TEKSA” services for any purpose other than personal use, and use the app and service exclusively for your purposes, and not sell them to any third party (including but not limited to transferring your account to another person or sharing customer numbers with others).
  • **Lawful Use:** Use the service or app only for lawful purposes and not use the services to send or store any unlawful materials or with the intent to commit fraud.
  • **Worksite Cleanliness:** Maintain the cleanliness and safety of the worksite during and after completing the task.
  • **Non-Disruptive Use:** Not use the service or app to cause harm, harassment, or nuisance to anyone.
  • **No Interference:** Not disrupt the proper functioning of the “TEKSA” app.
  • **No Customer Contact Post Service Completion or Cancellation:** You agree not to contact the customer after the completion or cancellation of the request. Violating this will subject you to legal accountability and your account may be suspended without any reimbursement of any funds in the account.
  • **No Harmful Actions:** You will not attempt to harm the service or the app in any way.
  • **No Unauthorized Distribution:** You will not copy or distribute the app or other contents without written permission from “TEKSA.”
  • **Password Security:** You will keep your account password or any identification means provided to you for accessing your account secure and confidential.
  • **Proof of Identity:** You will provide us with all necessary evidence to verify your identity, at the discretion of “TEKSA.”
  • **Service Refusal Rights:** “TEKSA” reserves the right to refuse service or deny app use without providing any reasons.
  • **Compliance with Promotional Periods:** You must comply with working during promotional periods; refusal may result in actions against you, potentially including account suspension without prior notice.
  • **No Fake Orders or Reviews:** You acknowledge that you will not create fake orders or provide fraudulent reviews.

 

You guarantee that:

  • Adherence to Technical Specifications: You will ensure that the service is provided in accordance with the recognized technical standards of those with expertise and specialization.

Warranty Service: You will return to the customer if a defect or the previous issue reoccurs and fix it within the warranty period (14 days) from the invoice date.

  • Quality Spare Parts: You will provide high-quality, fault-free spare parts at a reasonable price and present an approved invoice to the customer as agreed upon in the app.

Returning Replaced Parts: If any part is replaced, you must hand over the faulty or old part to the customer. You are not entitled to keep or benefit from it, and failing to do so may subject you to legal fines.

  • Document and Data Delivery: You must hand over all documents and information related to the devices and software worked on before closing the request. Any information not shared can be requested by the customer within 14 days after the job is completed.
  • Confidentiality: You must maintain the confidentiality of the customer’s information and not share, publish, or save it in any form or for any purpose outside the scope of the requested work by the customer.

 

Licensing Scope

TEKSA grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable license to access and use our services solely for personal purposes (not for any commercial purposes, for example) in accordance with this agreement. Therefore, you must:

  • Sole User Commitment: You commit to being the sole user of the account and agree not to allow others to use your account.
  • No Alterations: Not delete, alter, or otherwise modify any copyright or other official notices contained in the services.
  • No Unauthorized Distribution: Not intentionally transfer or distribute the services, or permit the services to be downloaded for uses other than those specified here.
  • No Sharing Credentials: Not share your username/password or other access credentials to TEKSA’s services.
  • Enforcement of Remedies: TEKSA reserves the right to pursue any available remedies for any breach of its credit policy, including, but not limited to, the right to block access to TEKSA’s services and programs.

 

Intellectual Property Rights

All intellectual property rights to these services and all related or appearing materials (including any content you submit or incorporate – but not limited to) are owned by TEKSA. This agreement and your use of the TEKSA platform do not grant you any rights except as expressly stated in this agreement.

  • Confidentiality: You must keep confidential any information obtained from TEKSA and must not disclose or allude to any internal usage methods or procedures related to the company.
  • No Unauthorized Reproduction: You must not reproduce, or allow any person for any reason to reproduce, the services or any trademarks or other trade names appearing in the services.

 

Payment

Right to Impose Fees: TEKSA has the right to impose new fees for using the app, the service, or both.

  • No Claims on Credited Amounts: Service providers cannot claim any amounts credited to their balance or any subscriptions within the app.
  • Notification of Fee Changes: If fees or percentages are changed, you will be notified, and you can choose to continue or cancel the account.
  • Commission Rates TEKSA sets the commission rates for both the “service provider” and “TEKSA” based on market requirements. The service provider has the right to opt-out if the given rate is unacceptable. Continuing usage after being notified of the new rate signifies explicit agreement to the new rate.
  • Price Updates: TEKSA reserves the right to modify or update prices from time to time, and you are solely responsible for staying informed of the current pricing for maintenance services.
  • Account Cancellation: TEKSA may cancel your subscription, permanently delete your account, and deduct the balance if you do not use TEKSA for more than three months since the last usage.
  • Acceptance of Discounts and Offers: You must accept any offers or discounts announced, especially when a customer uses a discount code in their order.
  • No Cash Payments: You must not accept any cash (whether physical or via card) from the customer, as payments should be processed through the app or through methods provided by the app.
  • Honesty and Integrity: You agree to always act with honesty regarding the value and authenticity of transactions. If any fraud, manipulation, deceit, or poor service delivery is discovered, resulting in direct or indirect harm to the app, your services will be suspended, your balance will be deducted without recourse, and TEKSA reserves the right to seek compensation for all damages incurred or anticipated due to such actions.

 

Indemnification

By agreeing to the terms of use, you agree to defend, indemnify, and hold harmless TEKSA, its affiliates, and all its officers from any claims, costs, damages, or losses that arise or relate to:

  • Violation of Terms: Your breach or violation of any term of these terms of use, or any applicable law or regulation, whether listed in these terms or not.
  • Violation of Rights: Your violation of any rights of service providers or any form of mistreatment towards them.
  • Misuse of the App: Your use or misuse of the app or service.

 

Legal Disclaimer

The information, recommendations, and services provided to you on or through the website, service, and application are for general information purposes only and do not constitute any advice.

 

  • Accuracy and Updates: TEKSA will strive to maintain the accuracy and currency of the website, app, and their contents, but does not guarantee that the contents are error-free, free of defects, malware, viruses, or that the website and app are always accurate, complete, or up-to-date.

 

  • Liability for Damages: TEKSA is not responsible for any damages resulting from the use (or inability to use) the website or app, including damages caused by malware, viruses, or inaccuracies or incompleteness of the information on the website or app.

 

  • Service Quality Responsibility: The quality of the maintenance or technical service requested via the app or service is entirely your responsibility. TEKSA holds no liability in this regard, although TEKSA reserves the right to review your performance and may cancel your account based on that review.

 

  • Post-Warranty Responsibility: Under no circumstances does TEKSA accept any responsibility for services provided by the service provider after the warranty period has ended.

 

  • Service Provider Conduct: TEKSA is not responsible for any acts, behaviors, conduct, or omissions of the service provider.

 

  • Customer Complaints: Any complaints regarding services should be directed to TEKSA directly. TEKSA does not hold any responsibility for resolving complaints but acts solely as a liaison between the customer and the service provider.

 

  • Official Information Requests: TEKSA reserves the right to provide any information to official authorities if requested to do so.

 

Service Modifications

TEKSA reserves the right, at its sole discretion, to at any time:

  • Service Change: Modify the services or any related materials; and/or discontinue the publication of its services.
  • Discontinuation of Services: If TEKSA decides to stop publishing its services, it may, at its discretion, replace them with similar materials.

 

Limits of Liability

  • No Warranty on Spare Parts: TEKSA does not provide any warranty on spare parts that may be provided to the customer.

 

  • Exclusion of Liability: Under no circumstances shall TEKSA, its agents, licensors, or affiliates be liable for direct, indirect, punitive, special, incidental, or consequential damages (including, but not limited to, damages for loss of profits, business interruption, loss of business information, or any other financial losses) arising directly or indirectly from the access to and use of the services, or the inability to use or rely on them.

Safety

You acknowledge that you are solely responsible for the privacy of the services and are individually accountable for their use by any other person using your account and/or username or password or access credentials. You also agree to notify “TEXSA” if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other methods of accessing the services.

 

Contract Duration and Termination

The contract between you and “TEXSA” is of indefinite duration. You have the right to terminate the contract at any time by permanently deleting the application installed on your smartphone, thus disabling your use of the application and service.

“TEXSA” has the right to terminate the contract immediately at any time (by disabling your use of the application and service) if you do any of the following:

  • Fail to comply with any of the terms of service.
  • Misuse the application or service.

 

“TEXSA” reserves the right to terminate the contract without notifying you of the termination.

 

Modification of Service and Provider Terms

“TEXSA” alone has the right to modify any term of the service provider’s terms or change, suspend, or discontinue the service or the application (including but not limited to, providing any feature, database, or content) at any time by sending you a notice through the service, application, or email.

“TEXSA” may place limitations on certain features and services or restrict your access to parts of the service or the entire service without notice or liability.

 

Notifications

“TEXSA” alone has the right to modify any term of the service provider’s terms or change, suspend, or discontinue the service or the application (including but not limited to, providing any feature, database, or content) at any time by sending you a notice through the service, application, or email. “TEXSA” may place limitations on certain features and services or restrict your access to parts of the service or the entire service without notice or liability.

 

Notifications

“TEXSA” may send notifications by issuing a general or specific notice through the service or the application. Additionally, “TEXSA” may send direct messages to the service provider via the in-app message box, SMS, WhatsApp, or any other agreed-upon communication methods.

 

Governing Law and Dispute Resolution

These service provider terms are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any disputes, claims, or conflicts arising out of or relating to these terms, including their breach, termination, enforcement, interpretation, validity, or use of the site, service, or application, will be resolved under the applicable Saudi laws and regulations.

Amendments to the Agreement

“TEXSA” reserves the right to amend this agreement from time to time. The amendments will take effect after “TEXSA” publishes the updated agreement on this site, or publishes the revised policies or supplementary terms related to the provided service. Your continued use of the application after the publication of the updated agreement constitutes your acceptance of the amended agreement.

 

Eligibility for Services

You acknowledge and warrant the following:

  • You have not previously been suspended or banned from using “TEXSA” services at any time.
  • You are not a competitor to “TEXSA” and do not offer any competing products or services.
  • To use the “TEXSA” platform, you must be at least 18 years old to register for an account.

Account registration requires providing some personal information to “TEXSA,” such as your name, address, phone number, sponsor details, gender, ID number, and date of birth.

 

You are not authorized to make any offers to users on behalf of “TEXSA.” A breach of this clause will render you fully liable for all obligations arising from such a breach and may expose you to criminal prosecution and a ban from using the platform.

 

Commitments and Warranties

You hereby acknowledge and agree to the following:

 

  • Maintain the Reputation of “TEXSA”: Uphold the reputation of the “TEXSA” application and prioritize customer respect above all.
  • Timely Service Delivery: Commit to providing services immediately upon receiving a request and arriving at the customer’s location without delays.
  • Personal Cleanliness and Professional Appearance: Ensure personal hygiene and wear appropriate attire for the job.
  • Necessary Tools and Equipment: Have all the necessary tools required to offer home or commercial maintenance services.
  • Adherence to Agreed Prices: Stick to the prices agreed upon in the application and do not charge any additional amounts except through the application.
  • Compliance with Laws and Regulations: Adhere to all applicable laws and regulations in the Kingdom of Saudi Arabia.
  • Accurate Information: Provide accurate and truthful information to “TEXSA” and update it in case of any changes.
  • Follow Notifications: Review and comply with any notifications sent through the “TEXSA” app regarding your use of the service provided by the application.
  • No Sub-licensing or Commercial Exploitation: Do not sublicense, issue, publish, transmit, distribute, perform, display, sell, or reclassify “TEXSA” services. Transferring or commercially exploiting the services, except as permitted under this contract, is strictly prohibited.
  • Personal Use of Information and Data: Use the information, content, or any data you access or obtain through “TEXSA” services exclusively for personal use. You will not sell such information to any third party (including transferring your account to another person or sharing customer numbers with others).
  • Lawful Use: Use the service or application solely for legal purposes and do not use the services for sending or storing any illegal materials or for fraudulent purposes.
  • Maintain Worksite Safety and Cleanliness: Keep the worksite safe and clean during and after the job.
  • No Harm or Harassment: Do not use the service or application to cause harm, annoyance, or inconvenience to anyone.
  • Do Not Disrupt Operations: Do not interfere with the proper functioning of the “TEXSA” application.
  • Prohibition on Post-Request Communication**: You must not contact the customer after the request is completed or canceled. This could subject you to legal liability and result in the suspension of your account without prior notice and without refunding any amounts in the account.
  • No Harm to Service or Application: You shall not attempt to harm the service or the application in any way.
  • Prohibition on Unauthorized Copying or Distribution**: You shall not copy or distribute the application or other contents without written permission from “TEXSA.”
  • Password Security: You are responsible for keeping your account password or any identification means provided to you by us, which grants access to your account, secure and confidential.
  • Proof of Identity: You will provide us with all necessary evidence to verify your identity, as per “TEXSA’s” sole discretion.
  • Service Refusal Rights: “TEXSA” reserves the right to refuse providing the service or using the application without giving any reasons.
  • Compliance with Offer Periods: You must comply with working during offer periods; refusal to do so may result in actions against your account, including suspension without prior notice.
  • You acknowledge that you will not create fake orders or reviews

 

You guarantee that:

  • Technical Specifications Compliance: You guarantee to provide the service according to the technical specifications recognized by experts and specialists in the field.
  • Follow-Up on Issues: You agree to return to the customer and resolve any issues or recurring problems within the warranty period (14 days) from the invoice date.
  • High-Quality Spare Parts: You commit to providing defect-free, high-quality spare parts at a fair price and delivering an approved invoice to the customer as agreed upon in the application.
  • Handling of Replaced Parts: When replacing any part, you must hand over the damaged or old part to the customer. You are not entitled to keep or benefit from it. Failure to comply may subject you to financial penalties by legal authorities.
  • Transfer of Documentation: You must deliver all documents and information related to the devices and software worked on before closing the request. The customer has the right to demand any unshared information within 14 days after the work is completed.
  • Confidentiality: You must maintain the confidentiality of the customer’s information and not share, publish, or store it in any form or for any purpose beyond the scope of the required work specified by the customer.

 

Scope of License

“TEXSA” grants you a non-exclusive, non-transferable, non-assignable, non-sub-licensable, and revocable license to access and use our services solely for personal purposes (not for any commercial purposes, including but not limited to) in accordance with this agreement. Hence, you must:

 

  • Single User Commitment: Undertake that you are the sole user of the account and commit not to allow others to use the account.
  • No Alteration of Notices: Not delete, alter, or otherwise modify any copyright or other official notices contained in the services.
  • No Unauthorized Distribution: Not deliberately transmit or distribute the services, or allow the services to be downloaded for uses other than those specified herein.
  • No Sharing of Access Credentials: Not allow the sharing of the username and/or password or other access credentials for “TEXSA” services.
  • Enforcement Rights: “TEXSA” reserves the right to pursue any remedies available for any breach of the balance recharge policy, including but not limited to blocking access to “TEXSA” services and software.

 

Intellectual Property Rights

All intellectual property rights in these services and all materials related thereto or appearing on them (including any content you submit or incorporate—without limitation) remain the property of “TEXSA.” This agreement and your use of the “TEXSA” platform do not grant you any rights other than those expressly mentioned in this agreement.

Confidentiality Obligation: You must keep confidential all information obtained from “TEXSA” and not disclose any usage methods or internal procedures related to the company.

Reproduction Prohibition: You must not reproduce or allow anyone, for any reason, to use or reproduce the services or any trademarks or trade names appearing in the services.

 

Payment

  • Right to Impose New Fees: “TEXSA” reserves the right to impose new fees for the use of the application, the service, or both.
  • No Claims on Funds: The service provider may not claim any amounts that have been recharged to their balance or any subscriptions within the application.
  • Notification of Changes in Fees: In the event of changes to the fees or percentage, you will be notified, and you may choose to either continue or cancel your account.
  • Commission Determination: “TEXSA” determines the commission rates for both (“service provider” and “TEXSA”) and collects it from the service provider as required by the market. The service provider has the right to request discontinuation if the rate is not suitable. Continuing after being notified of the new rate constitutes explicit acceptance of the new rate.
  • Price Modifications: “TEXSA” may modify or update prices from time to time, and you are solely responsible for staying informed about the current prices for the maintenance service.
  • Account Cancellation for Inactivity: “TEXSA” reserves the right to cancel the subscription, delete the account permanently, and deduct the balance from the account if you do not use “TEXSA” for more than 3 months from the last use.
  • Acceptance of Offers and Discounts: You must accept any offers or discounts when announced, especially when the customer uses a discount code in their request.
  • No Cash Acceptance: You must not accept any cash or bank transfer payments from the customer, as all collections must be made through the application or the methods provided by the application.
  • Commitment to Honest: You acknowledge and agree to always maintain honesty regarding the value and authenticity of transactions. If any fraud, manipulation, deceit, or poor service that negatively impacts the application is discovered, you will be subject to the suspension of your services and access to the “TEXSA” application, with the complete deduction of your balance without prior notice. Additionally, “TEXSA” reserves the right to seek compensation for any damages resulting or that may result from such fraud, manipulation, or misuse.

 

Indemnification

By agreeing to the terms of use, you agree to defend, indemnify, and hold harmless “TEXSA,” its affiliates, and all its officers from any claims, costs, damages, or losses that arise or relate to:

  • Your violation or breach of any of these terms of use, or any applicable laws or regulations, whether included in these terms or not.
  • Your violation of any rights belonging to service providers or any form of abuse towards them.
  • Your use or misuse of the application or service.

 

Legal Disclaimer

The information, recommendations, and services (or any of them) provided to you on or through the website, service, and application are for general information purposes only and do not constitute any advice.

“TEXSA” will strive to keep the website and application and their contents correct and up to date; however, it does not guarantee that the contents of the website or application are error-free, free from defects, malware, or viruses, nor does it guarantee the accuracy, correctness, or timeliness of the website and application.

“TEXSA” is not liable for any damages resulting from the use (or inability to use) the website or application, including damages caused by malware or viruses, and it does not accept responsibility for the accuracy or completeness of the information on the website or application.

You are entirely responsible for the quality of maintenance service or technical service requested using the application or service, and “TEXSA” has no liability in this regard. However, “TEXSA” reserves the right to review your performance and, based on that, cancel your account.

Under no circumstances does “TEXSA” accept any responsibility related to the services provided by the service provider or arising after the warranty period has ended.

“TEXSA” is not responsible for any acts, conduct, behavior, or negligence, or all of the above, on the part of the service provider.

Any complaints regarding the services provided by customers should be directed to the “TEXSA” application directly; however, “TEXSA” does not bear any responsibility in this regard, acting only as an intermediary between the parties.

“TEXSA” reserves the right to provide any information to official authorities if requested.

 

Modification of Services

“TEXSA” reserves the right, at its sole discretion, to:

  1. Change the services or any related materials; and/or
  2. Discontinue the publication of its services.

 

If “TEXSA” decides to discontinue the publication of its services, it may, at its discretion, replace the services with similar materials.

 

Limitation of Liability

“TEXSA” provides no warranty on the spare parts that may be supplied to the customer.

Neither “TEXSA” nor its agents, licensors, nor affiliates shall be liable under any circumstance for direct or indirect damages, punitive damages, special damages, incidental or consequential damages (including, but not limited to, damages resulting from loss of profits, business interruption, loss of business information, or any other financial losses) arising directly or indirectly from the access to, or use of, the services (or failure to use them) or reliance on them.

 

Security

You acknowledge that you are solely responsible for the privacy of the services and that you are individually responsible for their use by any person using your account and/or username or password or access credentials.

You also agree to notify “TEXSA” if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other methods of accessing the services.

 

Contract Duration and Termination

The contract between you and “TEXSA” is of indefinite duration. You have the right to terminate the contract at any time by permanently deleting the application from your smartphone, thereby disabling your use of the application and service.

“TEXSA” reserves the right to terminate the contract with immediate effect at any time (by disabling your use of the application and service) if you:

  • Fail to comply with any of the terms of service.
  • Misuse the application or service in any way.

“TEXSA” also reserves the right to terminate the contract without prior notice.

 

Modification of Service and Provider Terms

“TEXSA” has the sole right to modify any term of the service provider’s terms, change the service or the application, suspend it, or discontinue it (including but not limited to providing any feature, database, or content) at any time by sending you a notice through the service, application, or email.

 

“TEXSA” may impose restrictions on certain features and services or limit your access to parts or the entirety of the service without notice or liability.

 

Notifications
